Cory Skyy Lifestyles ~ 60 DAY COACHING

This Coaching Agreement (the “Agreement”) is between the undersigned client (“Client”

or “You” or “Your”) and Cory Skyy Lifestyles, Inc. (“CSL”).

In consideration of the fees and services exchanged, the parties agree to the Terms and

Conditions herein:

1) Definition of Services.

A.    Coaching Plan. You will receive private member access to 60 DAY COACHING starting on January 1st 2017.  As a member you have private access for a full 120 days at which point your subscription will end. Your 120 day term shall commence upon the start date of January 1st 2017.

B.     Rate. The fee for this coaching program is $997.00, and is due in full upon the execution of this Agreement. If you made previous payment arrangements with “CSL” to pay for the program in monthly installments, a minimum deposit is due and payable at the time you execute this Agreement. Then you authorize “CSL” to charge your card, whatever the agreed upon amount on a monthly basis, for the duration of this Agreement and/or until paid in full. At any point you can pay the remaining balance in full.

C.     Rights Release. You understand that this all material is entertainment and educational; the entire program can and will be documented and recorded and you give unrestricted rights and permission for “CSL” to copyright and re-use, publish, and republish any and all material including but not limited to content, audio, video, or pictures of you or in which you may be included intact or in part, composite or distorted in character or form, without restrictions as to changes or transformations in conjunction with your own or a fictitious name, or reproduction hereof in color or otherwise, made through any and all media now or hereafter known for illustration, art, promotion, advertising, products, trade, or any other purpose whatsoever. If you choose to opt out of this, you may contact Joseph C Ayers – aka Cory Skyy CEO of “CSL” to discuss other options for keeping your identity unrevealed.  

D.    None Compete. You understand that all the material within 60 DAY COACHING is the intellectual property of “CSL” and its content contains many copyrights, trademarks, and other original works of Cory Skyy Lifestyles Inc., and that any duplication or derivative works is unlawful.  You understand that exploiting confidential information about “CSL” or trade secrets, or sensitive information such as other customer/client lists, business practices, upcoming products, and marketing plan is unlawful. You understand that the identities of staff and participants in 60 DAY COACHING are to be kept strictly confidential.  You further agree that you do not currently teach, consult, or write about dating/relationship related material and that you do not work for any company or individual that does, and that you will not disclose to any such competing individual or company any of the content or format that you are exposed to within the “CSL” 60 DAY COACHING, or use the information you learn as the basis for a competing business.  This material is confidential and for your personal private use only.

2) Nature of the Relationship

A.    “CSL” and its Coaches offer entertainment and educational services. These sessions are coaching sessions for your planning, education, entertainment and motivation. “CSL” represents, and by signing this Agreement, you acknowledge that you understand and agree, that these coaching sessions are not psychological counseling, relationship counseling, financial advising, estate planning nor any other type of counseling or therapy sessions.

B.     In addition, by signing this Agreement, you acknowledge that “CSL” Coaches are not financial advisors nor are they brokers/dealers. No content provided by either the coaching or the coaching course materials is intended as financial advice and “CSL” does not recommend any particular investment.

C.     If you feel you need professional counseling or therapy, it is your responsibility to seek the help of a licensed professional.

3) Cancellation Policy

A.    Cancellation. In the event that you decide to cancel this Agreement, you must provide written notice to Cory Skyy Lifestyles within 7 days, stating the reasons that you have decided to cancel. In the event you decide to cancel this Agreement, “CSL” shall retain the tuition of the coaching sessions you have completed at the “CSL” full coaching rate, and will calculate any refund due, if any, based proportionately on the total amount of the contract already paid and the amount of sessions completed, plus the amount of the liquidated damages.

B.     72 Hour cancellation. You may cancel this transaction without penalty or obligation by submitting to CSL, a signed and dated written notice postmarked prior to midnight of the third business day after the date of this Agreement.

Faxed notices are not acceptable.

C.     Assigned Coach. When purchasing this program, you are “not” purchasing one on one time with Joseph Ayers aka Cory Skyy. The sessions and services through the duration of the program will primarily be delivered via pre-recorded audio sessions. One on one coaching is available throughout the program at an additional cost. All of the sessions can/will be hosted by either Cory Skyy or any other CSL Coaches/Mentors.

D.    Account Activity. If (i) you fail to log-into your account for more than 30 days then “CSL” shall have the right to cancel this Agreement. “CSL” has the right to terminate your account at any point, without notice in the event of “CSL” witnessing any disruptive, inappropriate behavior or slander towards others.

E.     Expiration Date. You have 120-day access period from the start date of January 1st 2017.

4) General Provisions

A.    Warranties. You acknowledge that you are not relying upon any warranties, promises, guarantees or representations made by “CSL” or anyone acting or claiming to act on behalf of “CSL” unless it is in writing and made a part of this Agreement. All advertising material and all prior representations or agreements, if any, whether oral or written, are hereby superseded by this Agreement. This Agreement contains the entire understanding and agreement between you and “CSL” and no addition or modification of any terms shall be effective unless set forth in writing and signed by you and “CSL”. No sales representative of “CSL” has the authority to modify the terms of this Agreement.

B.     Acceptance. By executing this Agreement, you agree to be bound by all the terms and conditions herein. Your execution of this Agreement will be required prior to commencement of any Coaching sessions as contemplated by this Agreement.

C.     Assignment. This Agreement may not be assigned to another individual or entity.

6) Payment Method

Client authorizes “CSL” to accept payment as directed by Client and authorizes “CSL”

to charge your credit card on file, if any, for any and all amounts due pursuant to

this Agreement.

7) Indemnification.

You agree to indemnify and hold harmless “CSL”, and affiliated companies, their officers, directors and employees from any and all claims, demands, suits, expenses, costs, judgments or other charges incurred by you as a result of your choice to participate in these coaching sessions as outlined by this Agreement.

You will not hold “CSL” or its Coaches and/or other employees including Volunteers responsible for any negligent actions or adverse results, whether

Known or unknown, that you may incur or suffer as a result of the

Coaching sessions you receive pursuant to this Agreement.
